1. Introduction

Welcome to InfluencerHub ("Platform", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our influencer marketing platform, including all content, functionality, and services offered.

By accessing or using InfluencerHub, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

2. Definitions

• "Platform" refers to the InfluencerHub website and all associated services
• "User" means any person or entity accessing or using the Platform
• "Brand" or "Client" refers to businesses seeking influencer marketing services
• "Influencer" or "Creator" refers to content creators offering marketing services
• "Campaign" means a brand collaboration project facilitated through the Platform
• "Content" refers to any material created, submitted, or shared on the Platform

3. User Accounts

3.1 Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Types

Users may register as either a Brand/Client or an Influencer/Creator. You may only maintain one account per user type and must accurately represent your account type.

3.3 Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Services and Platform Use

4.1 Platform Services

InfluencerHub provides a marketplace platform connecting Brands with Influencers for marketing campaigns. Our services include:

• Influencer discovery and search tools
• Campaign creation and management
• Content submission and review workflows
• Payment processing and payout management
• Analytics and reporting tools

4.2 Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Attempt to circumvent platform fees or payments
• Use automated systems (bots) to access the Platform
• Interfere with or disrupt the Platform's operation
• Share account credentials with others

5. Campaign Terms

5.1 Campaign Creation (Brands)

Brands creating campaigns agree to:

• Provide clear and accurate campaign briefs
• Set reasonable budgets and timelines
• Review content submissions promptly
• Pay agreed amounts upon content approval
• Respect influencer intellectual property rights

5.2 Campaign Participation (Influencers)

Influencers participating in campaigns agree to:

• Accurately represent their reach and engagement metrics
• Create content according to brand guidelines
• Disclose sponsored content as required by law (FTC guidelines, etc.)
• Submit content by agreed deadlines
• Make reasonable revisions when requested
• Only submit original content they have rights to

5.3 Content Rights

Unless otherwise specified in campaign agreements, Influencers retain ownership of created content but grant Brands a non-exclusive license to use the content for agreed marketing purposes.

6. Payments and Fees

6.1 Platform Fees

InfluencerHub may charge service fees for platform usage. All fees will be clearly disclosed before any transaction.

6.2 Payment Terms

For Brands:

• Payment must be secured before influencers begin content creation
• Funds are held in escrow until content approval
• Approved payments are released to influencers
• Refunds may be available for unfulfilled campaigns per our refund policy

For Influencers:

• Payment is processed individually upon content approval
• Payouts are sent via UPI or bank transfer within 3-5 business days
• Influencers are responsible for applicable taxes on earnings
• Minimum payout threshold may apply

6.3 Refunds and Disputes

In case of disputes, both parties agree to work in good faith to resolve the issue. InfluencerHub may mediate disputes but is not obligated to do so. Final payment decisions rest with the Platform in cases of clear Terms violations.

7. Intellectual Property

7.1 Platform Content

The Platform, including its design, features, text, graphics, logos, and software, is owned by InfluencerHub and protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain ownership of content you create and submit. By submitting content to the Platform, you grant us a limited license to display, store, and process your content solely for operating the Platform.

7.3 Copyright Infringement

We respect intellectual property rights. If you believe content on the Platform infringes your copyright, please contact us with details of the alleged infringement.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our Privacy Policy.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted, secure, or error-free service.

9.2 Third-Party Relationships

InfluencerHub is a marketplace platform. We do not guarantee the quality, safety, or legality of campaigns, content, or user conduct. Users interact with each other at their own risk.

9.3 Limitation of Liability

To the fullest extent permitted by law, InfluencerHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid to us in the 12 months prior to the event giving rise to liability.

10. Indemnification

You agree to indemnify and hold harmless InfluencerHub, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of the Platform
• Your content or campaigns
• Your violation of any rights of another party

11. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Harming the Platform or other users
• Any other reason at our sole discretion

You may terminate your account at any time through your account settings. Upon termination, your right to use the Platform ceases immediately.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in [Your City], India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.
